The new PRC Company Law, effective from 1 July 2024, has brought multiple changes ­­– inter alia related to corporate governance and enhanced responsibilities and liabilities of company organs. A key change is that for many limited liability companies, including foreign-invested companies, employee representative(s) in the Supervisory Board or in the Board of Directors are required. What are the key changes in these areas? How to elect employee representative(s)? What do companies need to pay attention to?

 

During this event, corporate law and labor law experts from CMS, China will provide an overview on the key issues and share their insights with you.

 

As a participant, you will then have the opportunity to ask the speakers questions directly following the presentations.

    Jeanette Yu is Partner and head of Employment & Pensions of CMS, China. She has more than 20 years’ experience in providing legal advice for international companies on Chinese labour law issues and compliance management in China. Her extensive track record comprises international secondment, data privacy, non-competition, social security, trade union and labour disputes. She has also been involved in significant projects of business transactions and restructuring advising clients on employee transfer, relocation and lay-off of employees as well as negotiation of employment contracts and separation agreements.   Since 2017, Jeanette has been acting as the National Chair/Vice Chair of HR Working Group of European Chamber of Commerce in China.

    Michael Munzinger is Counsel at CMS, China. He has more than 10 years’ experience in advising foreign companies on corporate law issues in China, in particular on joint ventures, share and asset transfers, restructurings, foreign direct investment, corporate governance, as well as commercial law and related dispute resolution matters.

    His extensive track record comprises the establishment of numerous foreign-invested entities, including wholly foreign-owned entities and joint ventures, cross-border and national share and asset transfers, mergers, restructuring and corporate changes, as well as advice, review and drafting of contracts and contract clauses in the commercial law area (e.g. plant contracts, delivery contracts and general terms and conditions, service contracts), advice on product liability, and advice and involvement in dispute resolution (especially arbitration).
